Terms of Service
These Terms are a binding business-to-business agreement. By purchasing, accessing, approving, downloading, publishing, or using any WorkOffloaded service or deliverable, you agree to these Terms on behalf of yourself and the business you represent.
These Terms of Service (the “Terms”) govern services provided by Brightbridge Ventures LLC, doing business as WorkOffloaded (“WorkOffloaded,” “we,” “us,” or “our”). WorkOffloaded provides services only for commercial and business use in the United States. You represent that you have authority to bind the business purchasing or using the services (“Client,” “you,” or “your”).
1. Services and service discretion
WorkOffloaded may provide advertising strategy, automated or human-assisted creative generation, copy, campaign setup, campaign management, optimization, reporting, and related advertising services as described on the applicable website, checkout page, order form, or written scope.
Except for a specific deliverable expressly stated on the applicable order page, WorkOffloaded controls the methods, tools, technology, personnel, automation, workflows, sequence, cadence, formats, testing approach, and allocation of effort used to perform the services. No minimum number of hours, meetings, revisions, campaign changes, tests, optimizations, reports, or creative iterations is included unless expressly stated in writing.
WorkOffloaded may change internal methods, software, providers, models, vendors, contractors, workflows, or delivery processes at any time without materially changing the purchased service.
2. Creative Engine — $399/month
The Creative Engine is a creative-production service. The current offer provides 30 ready-to-run Facebook and Instagram ad deliverables per monthly billing cycle, as described on the order page. Each deliverable is intended to be usable as advertising creative and may include a visual asset, primary text, headline, call to action, or other components WorkOffloaded determines appropriate for that deliverable.
Creative Engine deliverables may be generated substantially or entirely through automated systems, artificial intelligence, templates, software, or third-party technology. WorkOffloaded does not promise or undertake human review, legal review, regulatory review, fact-checking, claim substantiation review, or compliance review of each Creative Engine output before it is delivered.
Creative Engine outputs are provided to Client for Client’s independent review, selection, approval, modification if desired, and publication. WorkOffloaded does not publish Creative Engine ads for Client under this plan unless separately agreed in writing.
Client’s publication, distribution, upload, use, or authorization of a third party to use any Creative Engine output constitutes Client’s independent decision to use that output and Client’s confirmation that it has reviewed and approved the output for its intended use.
WorkOffloaded may determine delivery timing and batching within a billing cycle. Client delays in providing information, assets, instructions, access, or approvals may delay performance and do not suspend billing or create a refund right.
3. Done-For-You Ads — $999/month
The Done-For-You Ads service may include advertising planning, creative concepts and ad production, Meta campaign setup, campaign management, optimization, and reporting. Meta advertising spend is separate and is paid by Client directly to Meta.
WorkOffloaded determines the quantity, cadence, and type of creative production, tests, campaign changes, budget adjustments, optimizations, and other activities reasonably used to manage the account. The service does not include a guaranteed number of new ads, tests, revisions, campaign changes, hours, meetings, or other activities unless expressly stated in writing.
Where WorkOffloaded presents advertising creative to Client for approval before publication, Client must review it and either approve it or request changes. Once Client approves a creative, offer, claim, campaign, or substantially similar version, WorkOffloaded may rely on that approval and may publish or manage it on Client’s behalf. Platform-generated combinations, placement adaptations, cropping, resizing, formatting, or other non-substantive variations may not receive separate approval.
Client remains the advertiser, seller, service provider, and principal. WorkOffloaded acts only as a service provider and, where applicable, as Client’s authorized agent for campaign administration.
4. Automated and AI-generated content
Client acknowledges that WorkOffloaded may use artificial intelligence, machine learning, generative models, automation, templates, and third-party technology in providing any service. Automated output can be inaccurate, incomplete, misleading, outdated, offensive, infringing, noncompliant, or otherwise unsuitable. It may generate statements, claims, visuals, statistics, testimonials, likenesses, synthetic people, synthetic voices, avatars, or other content that WorkOffloaded did not manually create, inspect, know about, or approve.
Client is solely responsible for reviewing every output before use and for deciding whether, where, and how to use it. Client may not rely on WorkOffloaded or an automated output as legal, regulatory, medical, scientific, financial, licensing, privacy, intellectual-property, or compliance advice.
WorkOffloaded has no duty to monitor every automated output or to detect every false statement, implied claim, required disclosure, regulated claim, prohibited category, rights issue, or other legal or platform issue. WorkOffloaded may use automated filters or safeguards, but no filter or safeguard is guaranteed to identify every issue.
Where an output contains synthetic or AI-generated people, voices, avatars, endorsements, or other synthetic media, Client is responsible for determining and preserving all disclosures required by applicable law, platform rules, or industry requirements. WorkOffloaded may add or require disclosures and Client may not remove or obscure a disclosure WorkOffloaded includes or requires. Nothing in these Terms eliminates any non-waivable legal duty that applicable law directly imposes on WorkOffloaded.
5. Client is responsible for advertising legality and substantiation
Client is solely responsible for its business, products, services, licenses, permits, pricing, offers, warranties, guarantees, claims, substantiation, endorsements, testimonials, reviews, promotions, disclosures, and legal compliance.
Before using or approving any advertisement, Client must independently determine that all express and implied claims are truthful, not misleading, properly substantiated, and legally permitted. This includes, without limitation, claims concerning health, safety, medical or therapeutic effects, FDA or other regulatory status, performance, savings, energy efficiency, environmental benefits, financing, earnings, financial outcomes, professional credentials, certifications, warranties, “best,” “#1,” statistics, percentages, before-and-after results, consumer testimonials, and typical results.
Client is responsible for compliance with all laws, regulations, industry rules, professional rules, consumer-protection requirements, privacy requirements, rights-of-publicity requirements, intellectual-property laws, endorsement and testimonial rules, synthetic-media and AI-disclosure laws, and advertising-platform policies applicable to Client, its industry, its products or services, its customers, or the jurisdictions in which Client advertises.
Client must notify WorkOffloaded of any material legal, licensing, regulatory, factual, safety, or compliance restriction applicable to Client’s business or advertising. WorkOffloaded is entitled to rely on information Client supplies and is not required to independently verify Client’s claims, substantiation, licenses, evidence, approvals, testimonials, rights, or regulatory status.
6. Client representations and warranties
Client represents, warrants, and covenants that:
- all information and materials Client supplies are accurate to the best of Client’s knowledge and may lawfully be used for the requested purpose;
- Client owns or has all rights, releases, licenses, permissions, and consents necessary for all photos, videos, logos, trademarks, testimonials, likenesses, customer materials, and other content it provides;
- Client has appropriate substantiation for every objective claim it supplies, approves, or uses;
- Client will review outputs before publication and will not publish or approve content it knows or should know is false, misleading, infringing, unlawful, or inadequately substantiated;
- Client will obtain any disclosures, releases, professional approvals, legal review, or regulatory review required for its business or intended use;
- Client will not remove legally required disclosures, labels, disclaimers, or notices included by WorkOffloaded or a platform;
- Client will comply with Meta’s and other applicable platform terms and advertising policies; and
- Client is solely responsible for the products and services ultimately sold to consumers and for responding to, qualifying, quoting, closing, and servicing leads unless a separate written scope expressly states otherwise.
7. Complimentary, test, sample, or bonus output
Any free, complimentary, gifted, promotional, test, trial, sample, bonus, or unsolicited creative, copy, concept, recommendation, or other output is provided as-is for Client’s independent evaluation and is subject to the same review, approval, compliance, disclaimer, indemnity, and limitation-of-liability provisions as paid output. Client assumes responsibility for any decision to publish, use, distribute, adapt, or rely on such output.
8. No legal, compliance, or professional advice
WorkOffloaded is not a law firm, regulatory consultant, medical provider, financial adviser, scientific testing organization, licensing body, or compliance service. The services do not include legal review, regulatory review, claim substantiation, medical review, scientific review, or certification of advertising. Client should obtain its own qualified advisers where appropriate.
9. Payment, advertising spend, and taxes
Subscription fees are billed monthly in advance through Stripe and must be successfully paid before WorkOffloaded is required to begin or continue service for the applicable billing period. Client authorizes recurring charges until cancellation.
Advertising spend and platform charges are not included in WorkOffloaded’s fees unless expressly stated otherwise and are paid by Client directly to Meta or the applicable platform. Client is responsible for all applicable taxes, duties, assessments, and platform charges.
WorkOffloaded may suspend service immediately if payment fails, is reversed, is disputed, or becomes overdue. WorkOffloaded has no obligation to perform services during an unpaid or suspended period, and suspension does not waive amounts already due.
Prices may change for future billing periods upon notice. A price change does not retroactively affect a period already paid.
10. Cancellation and no refunds
Subscriptions are month-to-month and renew automatically until canceled. To cancel, Client must email getyour@workoffloaded.com before the next renewal date. Cancellation takes effect at the end of the then-current paid billing period.
All fees are non-refundable and non-proratable once charged, except where applicable law requires otherwise. Cancellation does not create a refund or credit for any unused portion of a billing period, unused creative, unused ad capacity, Client delay, account restriction, failure to provide inputs, failure to use delivered work, or advertising underperformance.
11. Client cooperation, access, and delays
Client must provide accurate information, required assets, approvals, credentials or partner access, and reasonable cooperation necessary to perform the services. If Client does not provide required information, access, approvals, or materials, WorkOffloaded may pause, defer, modify, reduce, or omit affected work without refund, and billing continues.
Client is responsible for maintaining its advertising accounts, billing methods, licenses, domains, pages, and other third-party assets in good standing.
12. Platforms and third-party services
Services may depend on Meta, Stripe, hosting providers, analytics providers, artificial-intelligence providers, communication systems, CRMs, automation services, contractors, and other third parties. WorkOffloaded does not control them and is not responsible for their outages, errors, data loss, account suspensions, policy changes, algorithm changes, price changes, feature changes, approvals, disapprovals, restrictions, or acts or omissions.
Client acknowledges that advertising platforms may automatically alter formatting, placements, cropping, combinations, delivery, targeting, optimization, or presentation and that such platform behavior is outside WorkOffloaded’s control.
13. No guarantees
WorkOffloaded does not guarantee any particular number, quality, or value of impressions, clicks, leads, appointments, estimates, customers, sales, revenue, cost per lead, acquisition cost, return on advertising spend, profitability, ranking, reach, conversion rate, platform approval, or other result.
Examples, illustrations, case studies, benchmarks, projected numbers, past results, advertising metrics, and website examples are informational only and are not promises of future performance.
14. Intellectual property and license
Client retains ownership of materials Client supplies. Client grants WorkOffloaded and its service providers a worldwide, non-exclusive, royalty-free license to host, copy, adapt, process, reproduce, transmit, modify, and use those materials as necessary to provide, automate, improve, administer, and support the services.
After full payment, Client may continue using final paid deliverables specifically provided for Client’s business, subject to any third-party license restrictions. WorkOffloaded does not transfer ownership of, and expressly retains all rights in, its software, source code, prompts, prompt libraries, models, workflows, systems, automations, frameworks, methods, templates, processes, tools, internal documentation, know-how, reusable components, intermediate work, working files, research methods, scoring systems, and generalized learnings (“WorkOffloaded Technology”).
Client may not copy, reverse engineer, extract, replicate, disclose, sell, license, sublicense, publish, distribute, reproduce, create a competing service from, or provide third parties access to WorkOffloaded Technology. No access to an interface, workflow, form, system, deliverable, or communication grants Client any ownership interest in WorkOffloaded Technology.
15. Portfolio, publicity, and aggregated learnings
Client grants WorkOffloaded a non-exclusive, worldwide, royalty-free license to identify Client as a customer and to use Client’s business name, logo, non-confidential deliverables, advertisements, screenshots, and non-confidential campaign results in WorkOffloaded’s portfolio, demonstrations, case studies, sales materials, website, and marketing. Client may request that WorkOffloaded stop new public uses of Client’s name or logo by emailing getyour@workoffloaded.com; the request applies prospectively and does not require recall of materials already distributed or impracticable-to-remove archived content.
WorkOffloaded will not knowingly fabricate a testimonial or attribute a statement to Client that Client did not make. WorkOffloaded may use aggregated, anonymized, or de-identified performance data and generalized learnings without restriction.
16. Confidentiality and competitors
WorkOffloaded will use reasonable measures to protect non-public Client information. Client acknowledges that WorkOffloaded may serve Client’s competitors, including competitors in the same industry or geographic market, and that no exclusivity is provided unless expressly agreed in writing.
Client must keep WorkOffloaded’s non-public pricing logic, systems, processes, prompts, workflows, methods, internal materials, and technology confidential and may not disclose or use them except as necessary to receive the services.
17. Right to refuse, modify, suspend, or remove
WorkOffloaded may refuse, modify, pause, remove, or decline to publish any content, campaign, offer, or instruction if WorkOffloaded believes, in its sole discretion, that it may violate law, platform policy, third-party rights, these Terms, or create unreasonable legal, operational, financial, safety, or reputational risk.
WorkOffloaded may suspend or terminate services for nonpayment, chargeback, abuse, suspected unlawful conduct, platform risk, security risk, lack of cooperation, breach of these Terms, or other material risk. Accrued payment obligations and provisions intended to survive termination remain effective.
18. Disclaimer of warranties
To the maximum extent permitted by law, all services, outputs, recommendations, creative, automation, software, campaigns, and deliverables are provided “as is” and “as available,” with all faults and without warranties of any kind. WorkOffloaded disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, legality, regulatory compliance, availability, security, performance, and results.
19. Client indemnification
To the maximum extent permitted by law, Client will defend, indemnify, and hold harmless Brightbridge Ventures LLC, WorkOffloaded, and each of their current and former owners, members, managers, officers, employees, contractors, agents, affiliates, licensors, technology providers, and service providers (collectively, the “WorkOffloaded Parties”) from and against any and all third-party claims, demands, investigations, inquiries, proceedings, actions, liabilities, losses, damages, judgments, settlements, penalties, fines (to the extent legally indemnifiable), costs, and expenses, including reasonable attorneys’ fees and defense costs, arising out of or relating to:
- Client’s business, products, services, customers, transactions, offers, licenses, or conduct;
- any content, facts, materials, instructions, claims, offers, testimonials, reviews, photos, videos, trademarks, likenesses, or other information supplied, approved, selected, published, distributed, modified, or used by Client;
- Client’s publication, distribution, use, approval, or authorization of any WorkOffloaded output, including automatically generated, AI-generated, complimentary, test, sample, or bonus output;
- any allegedly false, misleading, deceptive, unsubstantiated, unauthorized, infringing, defamatory, discriminatory, noncompliant, or unlawful advertisement or claim approved or used by Client;
- failure to make or preserve any disclosure required by law or platform policy, including endorsements, testimonials, material connections, synthetic-media, AI-avatar, AI-voice, or other artificial-intelligence disclosures;
- health, medical, safety, efficacy, financial, earnings, environmental, certification, licensing, regulatory, warranty, savings, performance, or other regulated or objectively verifiable claims;
- infringement or alleged infringement of copyright, trademark, patent, trade secret, privacy, publicity, biometric, personality, image, voice, likeness, or other rights;
- Client’s violation of law, regulation, platform policy, contract, professional rule, or these Terms; and
- Client’s alteration, combination, republication, reuse, or continued use of any deliverable.
WorkOffloaded will provide reasonable notice of an indemnified claim when practicable. Client may not settle a claim in a manner that admits wrongdoing by, imposes obligations on, or restricts a WorkOffloaded Party without WorkOffloaded’s prior written consent. WorkOffloaded may participate in or assume control of the defense with counsel of its choice where reasonably necessary, at Client’s expense to the extent covered by this indemnity. These obligations survive termination.
20. Limitation of WorkOffloaded liability
To the maximum extent permitted by law, the WorkOffloaded Parties shall have no liability to Client arising out of or related to automated output, creative content, advertising claims, legal or regulatory compliance, Client-approved or Client-published material, advertising performance, platform conduct, lost leads, lost sales, lost profits, lost revenue, lost opportunities, loss of goodwill, reputational harm, business interruption, loss of data, account suspension, or any indirect, incidental, special, exemplary, punitive, consequential, or similar damages, regardless of theory of liability and even if advised of the possibility of such damages.
If any liability of a WorkOffloaded Party cannot lawfully be excluded, then, to the maximum extent permitted by law, the total aggregate liability of all WorkOffloaded Parties for all claims arising out of or relating to the affected service shall not exceed the service fees actually paid to WorkOffloaded for that affected service during the single monthly billing period immediately preceding the event giving rise to the claim. Advertising spend, platform charges, taxes, third-party fees, and amounts paid to anyone other than WorkOffloaded are excluded from the cap.
Where any exclusion or limitation in these Terms is prohibited by applicable law, liability will be limited to the minimum amount and narrowest scope permitted by that law. Nothing in these Terms excludes liability that applicable law does not permit the parties to exclude by contract.
21. Sole contractual remedy for service defects
To the maximum extent permitted by law, if Client timely identifies a material defect in a deliverable or material failure to perform a paid service, Client’s exclusive contractual remedy is, at WorkOffloaded’s option, reasonable re-performance, correction, replacement, or service credit. Client must notify WorkOffloaded in writing within seven (7) days after the affected deliverable or service was provided. This section does not create a refund right.
22. Claims deadline; Wyoming law; venue; jury and class waiver
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. To the maximum extent permitted by law, any claim arising out of or relating to these Terms or the services must be commenced within one (1) year after the claim first accrued or it is permanently barred.
Any permitted lawsuit shall be brought exclusively in the state courts located in Sheridan County, Wyoming, or, where federal jurisdiction exists, in the United States District Court for the District of Wyoming. The parties consent to personal jurisdiction and venue there.
To the maximum extent permitted by law, each party knowingly and voluntarily waives trial by jury, and Client agrees to bring claims only in Client’s individual or business capacity and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding.
23. Electronic communications and notices
Client consents to electronic contracting, notices, invoices, approvals, disclosures, and communications. Notices to WorkOffloaded must be sent to getyour@workoffloaded.com. WorkOffloaded may send notices to the email address associated with Client’s account or purchase.
24. Changes to services and Terms
WorkOffloaded may update these Terms prospectively. The version posted at workoffloaded.com will state its effective date. Material changes affecting an active subscription may be communicated electronically. Continued use after an effective update constitutes acceptance to the extent permitted by law.
25. General terms
These Terms, together with the applicable order page, checkout page, written scope, and any incorporated policies, are the entire agreement regarding the services and supersede prior discussions on the same subject. If there is a conflict, a specific written order term controls only for the subject it expressly addresses.
WorkOffloaded may assign these Terms or delegate performance to affiliates, successors, contractors, or service providers. Client may not assign these Terms without WorkOffloaded’s prior written consent. Failure to enforce a provision is not a waiver. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder remains effective. Headings are for convenience only. Provisions concerning payment, intellectual property, confidentiality, publicity rights, disclaimers, indemnity, liability, disputes, and other provisions that by their nature should survive will survive termination.
